These Terms comprise Part A – Terms of Service and Part B – Acceptable Use Rules, which together form one complete document between you and BrewPass. This document should also be read together with our Privacy Policy, which remains a separate document.

Part A — Terms of Service

1. Overview

BrewPass provides a subscription service that allows active subscribers (“Members”) to redeem eligible beverages from participating cafés once every two (2) hours using the BrewPass mobile application (“App”).

2. Eligibility & Accounts

2.1 Age Requirement

You must be at least 18 years old to subscribe to BrewPass.

2.2 Personal Use Only

Accounts are personal, non-transferable, and limited to one account per person.

2.3 No Account Sharing

Account sharing is prohibited and may result in termination without refund. See Part B – Acceptable Use Rules below for further detail.

2.4 Account Security

You are responsible for keeping your login details secure and notifying BrewPass of any unauthorised use.

3. Subscription, Billing & Renewal

3.1 Subscription Term

Subscriptions run month-to-month and auto-renew until cancelled.

3.2 Billing

You authorise BrewPass (or our payment provider) to charge the subscription fee to your nominated payment method at the beginning of each billing cycle.

3.3 Auto-Renewal

Your subscription will automatically renew each month unless you cancel before the next billing date.

3.4 Cancellation

You may cancel at any time through the App. Cancellation is effective at the end of your current billing cycle, and you may continue to use the Service – including redeeming beverages – until that time. No refunds are provided for amounts already paid, including for any unused portion of your current billing cycle, except as required by law.

3.5 Service Changes

BrewPass may modify features or participating cafés at any time.

3.6 Price Changes

We reserve the right to change subscription pricing at any time. Members will be notified of any changes to subscription pricing via email or in-app notice thirty (30) days’ prior to the change taking effect. Continued use after the change takes effect constitutes acceptance of the new price.

4. Beverage Redemptions

4.1 Eligible Beverages

Members may redeem hot or iced non-alcoholic beverages normally sold by participating cafés. Food, juices, smoothies and alcohol are excluded unless stated otherwise.

4.2 Redemption Frequency

You may redeem one (1) eligible beverage every two (2) hours, timed from the previous redemption.

4.3 Redemption Method

Redemptions require QR check-in through the App and must be completed in person at a participating café.

4.4 No Cash Value

Redemptions have no cash value and cannot be exchanged for credit, refund or resale.

4.5 Geographic Availability

BrewPass may expand or limit availability based on participating cafés. Availability may vary by city and may change over time.

5. Conduct & Fair Use

5.1 Personal Consumption Only

Redemptions are for personal consumption only. Bulk collection, resale, redistribution or consumption by others is prohibited.

5.2 Fraud & Abuse

Fraud, manipulation, account sharing, spoofing check-ins, or attempting to bypass redemption rules may result in suspension or termination without refund.

5.3 Termination for Misuse

BrewPass may terminate your subscription immediately for fraud or serious misuse at its discretion.

6. Participating Cafés

6.1 Independent Operators

Participating cafés are independent third parties who prepare and serve beverages directly to Members.

6.2 Quality & Allergen Responsibility

Cafés are solely responsible for beverage quality, allergen disclosure, food safety, OH&S compliance, and customer service.

6.3 No Guarantee of Availability

BrewPass does not guarantee the continued participation of any specific café or availability of any beverage.

7. Refunds & Consumer Rights

7.1 No Refunds for Mid-Cycle Cancellation

Except as required by Australian law, BrewPass does not offer refunds for unused time in a billing cycle.

7.2 Australian Consumer Law

Your rights under the Australian Consumer Law (“ACL”) apply and cannot be excluded. If BrewPass fails to provide its service with due care and skill, you may be entitled to a remedy.

7.3 Service Downtime

Service interruptions do not entitle you to a refund unless required by the ACL.

8. Service Availability & Platform Disclaimers

8.1 No Guaranteed Uptime

BrewPass does not guarantee the continuous availability or error-free operation of the App.

8.2 Changes to Service

BrewPass may update, modify or discontinue parts of the service at any time.

9. Liability

9.1 Café Liability

To the extent permitted by law, BrewPass is not liable for:

  • beverage preparation, quality or suitability,
  • allergen or ingredient disclosure,
  • contamination or illness,
  • service quality or hospitality conduct,
  • safety or OH&S issues within cafés.

9.2 BrewPass Liability

To the extent permitted by law, BrewPass excludes liability for indirect, special or consequential loss arising from use of the service.

9.3 Liability Cap

To the maximum extent permitted by law, and without limiting your rights under the ACL, BrewPass’s total liability to you arising out of or in connection with these Terms (whether in contract, tort, or otherwise) is limited to the greater of (a) AUD $100, and (b) the total subscription fees paid by you to BrewPass in the three (3) months immediately preceding the event giving rise to the claim.

9.4 Consumer Guarantees

Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy conferred on you by the ACL that cannot lawfully be excluded, restricted or modified. Clauses 9.1 to 9.3 apply only to the extent permitted by law.

10. Privacy & Data

10.1 Data Collection

BrewPass collects usage data including visit timestamps and café locations.

10.2 Analytics

Aggregated and anonymised analytics may be shared with participating cafés for operational and settlement purposes.

10.3 Limited Data Shared With Cafés

Participating cafés can see your first name and live check-in time via their partner dashboard, so staff can verify your redemption in person, together with aggregated visit data. Cafés do not receive your surname, contact details, payment information, or any other personal information.

10.4 Marketing Preferences

You may choose to receive marketing communications from BrewPass by opting in via a checkbox at sign-up, and may change this preference at any time. See our Privacy Policy for further detail.

10.5 Privacy Policy

Our Privacy Policy forms part of these Terms.

11. Suspension & Termination

11.1 Termination by Member

You may cancel through the App at any time.

11.2 Termination by BrewPass

BrewPass may terminate:

  • for convenience at the end of a billing cycle; or
  • immediately for fraud, misuse or breach of these Terms.

11.3 Effect of Termination

Termination does not entitle you to refunds except as required by law.

12. Governing Law & Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of New South Wales, Australia.

12.2 General

If a dispute arises between you and BrewPass, we encourage you to contact us directly first to seek a resolution before pursuing the options below.

12.3 Court Jurisdiction

Subject to clause 12.4, any claim or dispute you may have against BrewPass must be resolved by a court of competent jurisdiction in New South Wales, and you submit to the non-exclusive jurisdiction of those courts.

12.4 Arbitration Option

For any claim (excluding claims for injunctive or other equitable relief) where the amount in dispute is less than $10,000 AUD, either you or BrewPass may elect to resolve the dispute through binding, non-appearance-based arbitration conducted by an alternative dispute resolution provider mutually agreed by the parties. Such arbitration will be conducted by telephone, online, and/or on the basis of written submissions (as chosen by the party initiating arbitration) and will not require personal appearance by either party unless mutually agreed. Judgment on any arbitration award may be entered in any court of competent jurisdiction. This clause does not limit any right you have under the ACL to bring a claim through other means.

13. Miscellaneous

(a) Entire Agreement

These Terms (comprising Part A and Part B), together with our Privacy Policy, are the entire agreement between you and BrewPass relating to their subject matter.

(b) Amendment

We may amend these Terms from time to time. Unless we specify a later effective date, amendments take effect once posted. Your continued use of the Service after an amendment takes effect constitutes acceptance of the amended Terms.

(c) Severability

Any provision of these Terms that is wholly or partially void or unenforceable is severed to that extent, without affecting the validity of the remaining provisions.

(d) Assignment

We may assign or transfer our rights and obligations under these Terms, including to a successor entity. You may not assign your account or these Terms without our consent.

(e) Notices

We will send notices to the email address associated with your account. Notice is deemed given twenty-four (24) hours after the email is sent, unless we receive notification that it was not delivered.

(f) Waiver

No waiver of any provision of these Terms is binding unless given in writing by an authorised representative of BrewPass. A waiver of one breach is not a waiver of any later breach.

Part B — Acceptable Use Rules

This Part B forms part of this Agreement and applies to all BrewPass Members.

Prohibited Conduct

To maintain fair and reasonable access to the Service, Members must not:

  • Share accounts – share, lend, transfer, or permit others to use your BrewPass account.
  • Redeem for others – redeem beverages for consumption by anyone other than yourself.
  • Resell or redistribute – sell, trade, gift, or stockpile beverages obtained through BrewPass.
  • Bypass redemption limits – attempt to bypass the “one drink every two hours” rule, including by manipulating device time, reinstalling the app, or spoofing QR codes.
  • Spoof or falsify check-ins – use VPNs, GPS spoofing, screenshots, tampered QR codes, or other methods to simulate visit activity.
  • Bulk or automated consumption – redeem beverages in a manner inconsistent with normal personal consumption (e.g., office pooling, bulk runs, redistribution to coworkers).
  • Fraudulent behaviour – engage in fraud, false identity, false registrations, chargebacks, or payment disputes made in bad faith.
  • Café interference – harass café staff, attempt to compel non-eligible items, or attempt to redeem beyond entitlement rules.
  • Tamper with the App – attempt to modify, alter, reverse engineer, or interfere with the app, its operation, or QR redemption system.
  • Circumvent suspension or bans – create new accounts to avoid enforcement actions or terminations.

Enforcement

BrewPass may enforce these rules by:

  • warnings;
  • temporary suspension;
  • restrictions on redemptions; and/or
  • termination of membership.

Serious violations (including fraud, resale or redistribution) may result in immediate termination without refund, consistent with Part A above.
